Brent A. Friedman, the Firm’s principal, worked for years at large Wall Street law firms, and served for five years as General Counsel and Secretary to Eclipsys Corporation (NASDAQ:ECLP), now Allscripts Healthcare Solutions (NASDAQ: MDRX). Mr. Friedman’s depth of experience provides clients with sophisticated representation at a fraction of the cost of large national firms, without the added expense of photocopies, telephone charges, faxes, secretarial overtime and other costs that law firms charge.

OUR SERVICES

CORPORATE

The Firm advises clients on company formation, the creation of corporate books and records, corporate governance, and mergers and acquisitions. We also aid clients in implementing and adopting whistle-blower, insider-trading and 10b-5 policies, and the creation of private placement memoranda to raise funds.

TECHNOLOGY

The Firm represents inventors, licensors, licensees, and acquirers in a variety of transactions involving software, software systems and technology. We also aid clients in creating on-line retail and use agreements, web privacy, web notice and disclosure policies, and the like. There is NO technology transaction that the Firm cannot handle.

LITIGATION

The Firm handles complex commercial litigations with emphasis on collection, foreclosure and asset recovery matters in Federal and state court. We also assist clients in complex civil, commercial litigations such as stock holder derivative actions, breach of contract matters, and other disputes.

General Counsel

The Firm serves de facto general counsel for small to mid-sized businesses. As de facto general counsel for clients, the Firm handles, among other things, corporate governance, mergers and acquisitions, trademark and copyright prosecutions, the creation of contract templates, real estate transactions and customer/vendor disputes.
