TECHNOLOGY

The Firm counsels inventors, licensors, licensees, and acquirers of complex technology systems on resale and distribution, co-marketing, co-development, joint venture, remote hosting, IT outsourcing, IT acquisition and divestiture agreements, and the use and acquisition of IT content.  The Firm also assists clients in creating on-line retail and use agreements, web privacy policies, web disclosure policies, and the like.

The Firm has handled virtually every conceivable type of technology transaction.  Among other things, Mr. Friedman, the Firm’s principal, served as principal outside counsel to GE Healthcare IT for 3 years, where he handled approximately 350 transactions against Microsoft, Adobe Systems, IBM, Oracle, Sun Microsystems, Emdeon, Capsule Technologies and others.  Separately, the Firm handles IT transactions for other Fortune 50/500 companies, and creates IT templates for use by clients.   Lastly, the Firm handles trademark and copyright prosecutions with resounding success.

CORPORATE

Apart from technology transactions, the Firm handles general corporate matters including company formation, the creation (and re-creation) of corporate books and records; corporate governance; and mergers and acquisitions.  The Firm also helps clients implement and adopt whistle-blower, insider-trading and 10b-5 policies, codes of business ethics and conduct, and the like.  The Firm also assists client in raising funds through the creation of private placement memoranda.

LITIGATION

The Firm handles complex commercial litigations with emphasis on collection matters, foreclosures, asset recovery matters.  For 10 years, Mr. Friedman, the Firm’s principal, worked on Wall Street at large law firms handling bankruptcy, corporate restructuring and insolvency matters, during which time he litigated numerous matters at national levels.  A natural outgrowth of Mr. Friedman’s experience is the Firm’s handling of collection, foreclosure and asset recovery maters for clients such as banks, national accounting firms, law firms, and public and private clients, in both Federal and state court.  Mr. Friedman has litigated cases against premier national law firms, obtaining expeditious results at a fraction of the cost of opposing parties.   Mr. Friedman is quick to assess a case’s strengths and weaknesses, and counseling clients on how to speedily obtain the most desired result.

de facto GENERAL COUNSEL (gc360°®)

The Firm prides itself in representing small to mid-sized businesses as their de facto general counsel through its gc360°® program.  Through gc360°®, the Firm counsels clients on corporate and corporate governance matters; mergers and acquisitions; creating and negotiating customer/vendor agreements; trademark and copyright prosecutions; real estate transactions; customer disputes; litigations and other issues.

Fees for gc360°® include a monthly subscription, through which a client buys the monthly legal services that it needs, at greatly discounted rates.  The program is premised upon total transparency, as each client buys what it needs and a pre-negotiated price, with no added costs for photocopies, telecopies, telephone, postage, secretarial over time and other things.  What’s more, unused time carries over.
